Contract Law
Understand proposed agreements, contractual obligations, and business disputes with practical contract counsel in Missouri and Illinois.
Understanding your situation
A contract defines a relationship: what each party promises, when performance is due, and what happens if expectations are not met. Clear terms can help a transaction move forward and provide a reference when a disagreement arises. Lord Law Firm works with contract questions in the context of your goals, the agreement, and the surrounding circumstances.
Common situations
- Reviewing a proposed business or service agreement
- Clarifying payment, performance, renewal, or termination terms
- Considering an amendment to an existing agreement
- Addressing an alleged breach or a disagreement about obligations
How Lord Law Firm may assist
Kurt can review contract language, discuss provisions that deserve closer attention, and help evaluate options for negotiation or a developing dispute. The starting point is the complete agreement, including referenced documents and amendments, together with a clear explanation of your objective. Whether a particular term is enforceable or a remedy is available requires a review of the facts and applicable law.
MO
Missouri considerations
Different rules can apply to different kinds of agreements. Missouri’s Uniform Commercial Code Article 2 addresses transactions in goods; that does not make it the governing framework for every service, employment, or property agreement. Identify the subject of the contract and any governing-law or dispute-resolution provisions before assuming which rules apply.
IL
Illinois considerations
Illinois has its own contract statutes, including Uniform Commercial Code rules for transactions involving goods. An agreement connected to more than one state also calls for attention to its governing-law language and the facts of the transaction. A document used in Missouri should not be assumed to have the same effect in an Illinois matter without review.
Frequently asked questions
Can I request a review before signing?
Yes. Describe the type of agreement and any proposed signing date when you contact the firm. Kurt can discuss whether a review is available and what its scope would include.
Can an agreement matter if it was not formally signed?
Possibly. Formation and enforceability depend on the type of agreement, the communications and conduct involved, and applicable law. Do not assume that the absence of a signature resolves the issue.
What if the other party has already failed to perform?
Describe the general obligation and what has happened so far. A review may involve the contract, amendments, communications, and performance history. Avoid sending confidential materials with your first website message.
